1. Acceptance of Terms

By accessing or using OmniClip (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you and OmniClip ("we", "us", or "our"). By creating an account or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Description of Service

OmniClip is a cross-platform clipboard synchronization service that allows users to:

• Copy text, images, and files on one device
• Access that content on any of their connected devices
• Store clipboard history for later retrieval
• Optionally encrypt their data with end-to-end encryption
• Synchronize content across web, mobile, and browser extension platforms

The Service is provided "as is" and we reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.

3. User Accounts

3.1 Account Creation

To use OmniClip, you must create an account using one of the following methods:

• Google Sign-In authentication
• Other authentication methods we may provide

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Ensuring your account information is accurate and current

3.3 Account Eligibility

You must be at least 13 years old to use OmniClip. By creating an account, you represent that you meet this age requirement.

4. Acceptable Use Policy

4.1 Permitted Use

You may use OmniClip for lawful purposes to synchronize clipboard content across your personal devices.

4.2 Prohibited Activities

You agree NOT to use the Service to:

• Upload, store, or transmit any unlawful, harmful, or offensive content
• Infringe on intellectual property rights of others
• Distribute malware, viruses, or malicious code
• Harass, abuse, or harm others
• Share content containing child exploitation material
• Engage in any illegal activities
• Attempt to gain unauthorized access to the Service or other users' accounts
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated scripts or bots to access the Service
• Overload or disrupt the Service infrastructure
• Resell or redistribute the Service without permission

5. Content and Privacy

5.1 Your Content

You retain all rights to the content you upload to OmniClip. By using the Service, you grant us a limited license to store, process, and transmit your content solely for the purpose of providing the Service.

5.2 Content Storage

We store your content to provide clipboard synchronization services. Content may include:

• Text snippets
• Images and screenshots
• Files and documents
• Associated metadata (timestamps, device information)

5.3 Content Monitoring

While we generally do not monitor user content, we reserve the right to:

• Review content if we receive reports of violations
• Remove content that violates these Terms
• Suspend or terminate accounts that repeatedly violate these Terms
• Cooperate with law enforcement when legally required

5.4 Privacy

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your information.

6. Data Storage and Retention

6.1 Storage Limits

We may implement storage limits on your account, including:

• Maximum number of clipboard items
• Maximum file size per item
• Total storage capacity

We will notify you of any storage limits that apply to your account.

6.2 Data Retention

We retain your data for as long as your account is active. You can delete individual items or your entire account at any time. Upon account deletion, we will remove your data within 30 days.

6.3 Automatic Deletion

We may automatically delete clipboard items based on retention policies, such as:

• Items older than a specified period (if configured)
• Items in inactive accounts

7. Intellectual Property

7.1 Service Ownership

OmniClip and all associated intellectual property rights are owned by us. This includes:

• The OmniClip name, logo, and branding
• The Service software and code
• Service design and user interface
• Documentation and materials

7.2 License to Use

We grant you a limited, non-exclusive, non-transferable license to use the Service for your personal use, subject to these Terms.

7.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, we may use them without any obligation to compensate you.

8. Third-Party Services

OmniClip integrates with third-party services, including:

• Google Firebase: For authentication, data storage, and backend services
• Google Sign-In: For user authentication

Your use of these third-party services is subject to their respective terms and policies. We are not responsible for the actions or policies of third-party service providers.

9. Service Availability and Modifications

9.1 Availability

We strive to provide reliable service but cannot guarantee uninterrupted access. The Service may be unavailable due to:

• Scheduled maintenance
• Technical issues
• Force majeure events
• Third-party service outages

9.2 Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will make reasonable efforts to notify users of significant changes.

9.3 Updates

We may release updates to improve the Service, fix bugs, or add features. Some updates may be required to continue using the Service.

10. Fees and Payment

10.1 Free Service

OmniClip is currently provided free of charge. We reserve the right to introduce paid features or subscription plans in the future.

10.2 Future Pricing

If we introduce paid features:

• We will provide advance notice
• Existing free features may remain free or become part of a paid tier
• You will have the option to subscribe or discontinue use

11. Termination

11.1 Termination by You

You may terminate your account at any time by:

• Deleting your account through the Service settings
• Contacting us at contact@getomniclip.com

11.2 Termination by Us

We may suspend or terminate your account if:

• You violate these Terms
• You engage in fraudulent or illegal activities
• Your account has been inactive for an extended period
• We discontinue the Service

We will make reasonable efforts to notify you before termination, except in cases of serious violations or legal requirements.

11.3 Effect of Termination

Upon termination:

• Your access to the Service will be revoked
• Your data will be deleted according to our retention policy
• You must cease all use of the Service
• Provisions that should survive termination will remain in effect

12. Disclaimers and Limitations of Liability

12.1 "AS IS" Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

12.2 No Warranty

We do not warrant that:

• The Service will be uninterrupted or error-free
• Defects will be corrected
• The Service is free from viruses or harmful components
• Results obtained from the Service will be accurate or reliable

12.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of data or content
• Loss of profits or revenue
• Loss of business opportunities
• Service interruptions
• Unauthorized access to your account

OUR TOTAL LIABILITY SHALL NOT EXCEED $100 USD OR THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS, WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify, defend, and hold harmless OmniClip, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of others
• Content you upload or share through the Service

14. Dispute Resolution

14.1 Informal Resolution

If you have a dispute with us, please contact us at contact@getomniclip.com to attempt informal resolution first.

14.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which we operate, without regard to conflict of law principles.

14.3 Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration in accordance with applicable arbitration rules, except where prohibited by law.

15. Changes to Terms

We may modify these Terms at any time. When we make changes, we will:

• Update the "Last Updated" date at the top of this page
• Notify you through the Service or via email
• Provide a reasonable notice period for material changes

Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and may terminate your account.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and OmniClip regarding the Service.

16.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

16.3 No Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

16.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

16.5 Force Majeure

We shall not be liable for any failure to perform due to circumstances beyond our reasonable control, including natural disasters, wars, terrorism, labor disputes, or internet outages.
